1. Agreement
Vedin is a product of Samekar (samekar.com). These Terms are an agreement between Samekar and the individual or organization using the service. If you have a signed order form, enterprise agreement, data processing agreement, or other written agreement with us, that agreement controls where it conflicts with these Terms.
2. The Service
Vedin provides AI-assisted workflows for incident investigation, code review, infrastructure operations, data questions, scheduled checks, approvals, notifications, runbooks, and knowledge management. The service may include hosted software, APIs, integrations, infrastructure agents, documentation, and beta features.
3. Accounts and Administration
- You must provide accurate account information and keep credentials secure.
- You are responsible for activity under your account and organization, including users you invite.
- Organization administrators control workspace configuration, integrations, permissions, and access to customer content.
- You must promptly notify us of unauthorized access or security incidents involving your account.
4. Customer Content and Permissions
You retain ownership of content, data, prompts, files, code, logs, schemas, messages, and other materials submitted to or processed by Vedin. You grant us the rights needed to host, process, transmit, display, and use that content to provide, secure, support, and improve the service.
You are responsible for having the rights and permissions needed to connect systems, upload content, run tools, query databases, and allow Vedin to process data on behalf of your organization.
5. Integrations and Infrastructure Agents
Vedin can connect to third-party services and customer-controlled infrastructure. You are responsible for reviewing requested scopes, credential permissions, network access, and command policies before enabling integrations or agents. Third-party services remain governed by their own terms.
6. AI Processing of Your Content
We do not use your content to train models, and we do not permit our AI providers to train on it. Content is sent to a model only to produce output you requested. Our current AI provider, and how bring-your-own-key configurations differ, are described in our Privacy Policy.
7. AI Outputs and Human Review
AI outputs may be incomplete, inaccurate, or unsuitable for your environment. You are responsible for reviewing outputs, recommendations, generated code, database queries, incident findings, runbooks, and proposed remediation steps before relying on them.
Vedin is not a substitute for professional judgment, security review, legal advice, compliance advice, or production change management. High-impact actions should be reviewed and approved by qualified humans according to your internal policies.
8. Acceptable Use
You must not use Vedin to:
- violate laws, rights, contracts, or third-party terms;
- attempt unauthorized access to systems, accounts, data, or networks;
- disable, overload, disrupt, scan, or attack systems without authorization;
- upload malicious code or use the service to create or distribute malware;
- process sensitive regulated data unless your plan and written agreement expressly permit it;
- misrepresent AI outputs as human-reviewed when they are not;
- scrape or copy the service, or attempt to derive its source code, except where that right cannot lawfully be restricted.
9. Beta Features
Some features may be marked alpha, beta, preview, experimental, or early access. Beta features may change, break, or be discontinued at any time and may not be covered by the same support, security, or availability commitments as generally available features.
10. Availability and Support
We aim to keep Vedin available and to give reasonable notice of planned maintenance. Self-serve plans carry no uptime commitment. Service levels, support response times, and service credits apply only where an order form or written agreement sets them out.
We may change, add, or discontinue features. Where we remove a generally available feature that paying customers rely on, we will give reasonable advance notice.
11. Pricing, Billing, and Comparisons
Paid plans, usage limits, overages, taxes, renewals, cancellation, and refunds are governed by the plan terms, checkout flow, order form, or written agreement that applies to your account.
Savings, pricing comparisons, and replacement-stack examples on our website are illustrative. They are not guarantees of savings, feature parity, procurement outcomes, or suitability for every organization.
12. Confidentiality and Security
Each party may receive confidential information from the other. The receiving party will use reasonable care to protect confidential information and will use it only to perform obligations or exercise rights under these Terms. We use reasonable safeguards designed to protect customer content, but no service can guarantee absolute security.
13. Intellectual Property
We and our licensors retain all rights in Vedin, including software, interfaces, workflows, designs, documentation, and trademarks. You may use the service only as allowed by these Terms and your plan. Feedback may be used by us without restriction or obligation.
14. Suspension and Termination
We may suspend or limit access if we reasonably believe use of the service creates security risk, violates these Terms, threatens the service, or may expose us or others to liability. You may stop using the service at any time. Certain provisions, including payment obligations, confidentiality, disclaimers, limitations of liability, and ownership terms, survive termination.
15. Disclaimers
Except where expressly stated in a written agreement, the service is provided “as is” and “as available.” We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, and error-free or accurate AI outputs to the fullest extent permitted by law.
16. Limitation of Liability
To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or replacement costs. Except for amounts you owe us, each party’s aggregate liability is limited to the greater of the amounts paid or payable for the service during the twelve months before the event giving rise to liability, or one hundred US dollars.
Nothing in these Terms limits or excludes either party’s liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for a party’s indemnity obligations, for breach of confidentiality, for your payment obligations, or for anything else that cannot lawfully be limited. Some jurisdictions do not allow certain exclusions, and in those places these limits apply only so far as the law allows.
17. Indemnities
You will defend and indemnify us against third-party claims arising from your content, the systems and credentials you connect, your use of the service in breach of these Terms or applicable law, and actions taken in your environment by you or by users you authorize.
We will defend and indemnify you against third-party claims that the service, used as permitted by these Terms, infringes that party’s intellectual property rights, and will pay damages finally awarded or agreed in settlement. This does not apply to claims arising from your content, from combinations with systems we did not supply, from modifications you make, or from your continued use of a version after we have offered a non-infringing alternative. Each party must give the other prompt notice of a claim and reasonable cooperation in defending it.
18. Governing Terms for Enterprise Customers
Enterprise deployments may require additional terms, including data processing, security, support, service-level, procurement, and governing-law terms. Those terms should be documented in a signed agreement or order form before production use.
19. General
- Entire agreement. These Terms, with any order form, written agreement, and the policies referenced here, are the entire agreement between us on this subject and replace earlier discussions about it.
- Severability and waiver. If a provision is held unenforceable, the rest stays in force and that provision applies to the greatest extent permitted. Not enforcing a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our written consent, except to a successor of your business that is not a competitor of ours. We may assign them to an affiliate, or in connection with a merger, acquisition, or sale of assets.
- Notices. We may give notice by email to your account address or through the product. Legal notices to us should be sent to support.
- Events outside our control. Neither party is liable for delay or failure caused by events beyond its reasonable control, including outages at cloud, network, or AI providers. This does not excuse payment obligations.
- Export and sanctions. You must not use the service, or let it be used, in breach of export control or sanctions laws, or from a country or by a person those laws prohibit.
- Independent parties. These Terms create no partnership, agency, employment, or joint venture, and give no rights to anyone who is not a party to them.
20. Changes
We may update these Terms from time to time. Where a change materially reduces your rights or increases your obligations, we will give at least 30 days’ notice before it takes effect, by email or in-product notice, and you may cancel a paid plan before that date if you do not accept it. Other changes take effect when posted. Continued use after a change takes effect means you accept the updated Terms.
21. Contact
